BoxFold provides B2B printing and packaging services including:

• Custom packaging boxes and corrugated cartons
• Printing services (labels, inserts, stickers, branding materials)
• Design services (file checks, basic edits, custom design)
• Project management and vendor coordination

We act as an intermediary between customers and our network of verified production partners.

2. Account Registration

To use certain features of our services, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access
• Not create multiple accounts or share accounts

3. Ordering Process

3.1 Submitting Requirements: When you submit a requirement, you provide specifications for your desired packaging or printing project. This does not constitute a binding order until we accept it and provide a quote.

3.2 Quotation: We will review your requirement and provide a quote including price, timeline, and specifications. Quotes are valid for 14 days unless otherwise stated.

3.3 Order Confirmation: An order is confirmed when you accept our quote and complete the required payment. We will send a written confirmation.

3.4 Specifications: You are responsible for ensuring all specifications, designs, and materials provided are accurate and print-ready (unless design services are purchased).

4. Pricing and Payment

4.1 Pricing: All prices are in Indian Rupees (INR) unless otherwise stated. Prices may vary based on quantity, specifications, materials, and timeline.

4.2 Payment Terms:

• New customers: 50% advance payment upon order confirmation, 50% before delivery
• Repeat customers: Payment terms may be negotiated based on order history and credit evaluation
• Payment methods: Bank transfer, UPI, credit/debit cards (processing fees may apply)

4.3 Additional Costs: Prices do not include:

• Shipping and handling charges
• Customs duties and taxes (for international shipments)
• Rush order fees (if applicable)
• Additional revisions beyond agreed terms

5. Design Services

5.1 Free File Checks: We offer complimentary file checks to ensure your files are print-ready.

5.2 Paid Design Services: Basic edits and custom design services are charged separately as per our pricing structure.

5.3 Intellectual Property: You retain ownership of all intellectual property you provide. Final design files become your property upon full payment. You grant us a license to use designs solely for fulfilling your order.

5.4 Revisions: The number of revisions is specified in your service agreement. Additional revisions may incur extra charges.

6. Production and Delivery

6.1 Timeline: Production timelines are estimates and may vary due to factors beyond our control. We will notify you of any significant delays.

6.2 Sample Approval: For certain orders, we may provide samples for approval before full production. Production begins only after written approval.

6.3 Quality Assurance: We conduct quality checks before delivery. Any quality issues must be reported within 7 days of delivery.

6.4 Delivery: Delivery dates are estimates. We are not liable for delays caused by shipping carriers, customs, or force majeure events.

7. Cancellation and Modifications

7.1 Customer Cancellation:

• Before production starts: Full refund minus 10% administrative fee
• After production starts: No refund, but you will receive the completed order
• For design services: Refund only if no work has commenced

7.2 Modifications: Changes to specifications after order confirmation may incur additional charges and delay delivery. Changes after production starts may not be possible.

8. Warranties and Liability

8.1 Quality Warranty: We warrant that products will meet agreed specifications and be free from defects in materials and workmanship. This warranty does not cover:

• Design errors or issues in customer-provided materials
• Normal wear and tear
• Misuse or improper storage
• Damage during shipping after delivery acceptance

8.2 Limitation of Liability: Our total liability for any claim is limited to the amount paid for the specific order. We are not liable for indirect, consequential, or special damages including lost profits or business interruption.

8.3 No Warranty on Designs: If you provide designs, you warrant that you have all necessary rights and that the designs do not infringe third-party rights.

9. Intellectual Property

9.1 Customer Content: You retain all rights to content you provide. You grant us a license to use it solely for fulfilling your orders.

9.2 BoxFold Property: Our website, branding, processes, and proprietary information remain our exclusive property.

9.3 Portfolio Use: We may display images of completed projects in our portfolio unless you request confidentiality in writing.

10. Confidentiality

We maintain confidentiality of your business information and project details. However, we share necessary information with production partners to fulfill your orders.

11. Termination

We may terminate or suspend your account immediately for:

• Violation of these Terms
• Fraudulent activity or payment disputes
• Providing false or misleading information
• Any illegal or unauthorized use of our services

12. Dispute Resolution

12.1 Negotiation: In case of disputes, we will first attempt to resolve through good faith negotiation.

12.2 Arbitration: If negotiation fails, disputes will be resolved through binding arbitration in accordance with Indian Arbitration and Conciliation Act, 1996.

12.3 Jurisdiction: These Terms are governed by the laws of India. The courts of Hyderabad shall have exclusive jurisdiction.

13. Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control including natural disasters, pandemics, war, strikes, government actions, or supplier failures.

14. Changes to Terms

We may modify these Terms at any time. Significant changes will be communicated via email or website notice. Continued use of services after changes constitutes acceptance.

15. Miscellaneous

15.1 Entire Agreement: These Terms constitute the entire agreement between you and BoxFold regarding our services.

15.2 Severability: If any provision is found invalid, the remaining provisions continue in effect.

15.3 Waiver: Failure to enforce any right does not constitute a waiver of that right.

15.4 Assignment: You may not assign these Terms without our written consent. We may assign our rights and obligations to any party.
